ART.7–CONSULTANT’SCOMMISSION:

7.1ConsultantisentitledtoremunerationinaccordancewithClause7.2belowonallContractswhichareenteredintobySinopecandpaidforbytheClient.

7.2TheremunerationpayabletotheConsultantwillbelinkedtomonthlyinvoicesbilledtotheClientbySinopecbasedonoperation,standby,repairrateremedialrateandstackrate(withorwithoutcrew)asperawardedcontractrateaswellstacking,excludingMob/DeMobetc.,andshallbe:

1)_____%ofmonthlyinvoiceforeachRigwhereContractsareawardedforall4Rigs.

2)_____%ofmonthlyinvoiceforeachRigwhereContractsareawardedfor3Rigs.

3)_____%ofmonthlyinvoiceforeachRigwhereContractsareawardedfor2Rigs..

PaymenttoConsultantshallbemadewithin2weeksofreceiptofpaymentbySinopecfromtheClientinrespectofeachrespectiveRig.AllpaymentstoConsultantshallbemadeinaccordancewithwritteninstructionsforpaymentreceivedfromConsultant.AllpaymentswillbemadeaccordingtotheactualpaymentsreceivedfromtheClient.

7.3ItisexpresslyagreedandunderstoodthatnopaymentshallbeduetoConsultantanypaymentsreceivedbySinopecfromClientunderorpursuanttotheDrillingServicesContractsbywayofcompensationordamagesorreimbursementsforlossordamagetoitsequipmentetcandConsultant’ssoleentitlementforremunerationshallbewithrespecttomonthlyinvoicesforservicesprovidedundertherespectiveDrillingServicesContracts.ItisfurtheragreedthatnoremunerationshallbepayabletoConsultantonpaymentstoSinopecforextraserviceswhichmaybehiredbytheClientoutsidethescopeoftheDrillingServicesContracts.

7.4FortheavoidanceofdoubtitisexpresslystatedthatremunerationpayabletoConsultantinaccordancewiththisArticle7isinclusiveofandcoversanyandallcostsandexpensesincurredbytheConsultantinfulfillingitsobligationsunderthisAgreement(includingbutnotlimitedtoremunerationforpersonnel,telephone,telex,office,etc.)andnofurtherpaymentsshallbeduefromSinopectoConsultant.
