5.ConfidentialityandRestrictedUse

Anynon-publicinformation,including,butnotlimitedto,drawings,descriptions,specifications

andanyothertechnicaldocumentswhichDanfosshasmadeormaymakeavailabletotheSupplier

(“ConfidentialInformation”)shallremainthepropertyofDanfossandshallbetreatedasconfi-

dentialbySupplieranditsrepresentativesandmustnot,withoutthewrittenconsentofDanfoss,

becopied,reproduced,ortransferredtothirdpartiesorbeusedforotherpurposesthanthosein-

tendedwhentheConfidentialInformationwasmadeavailable.ConfidentialInformationshallbe

returneduponDanfoss’request.

6.Warranty

Foraperiodof24monthsfromthedateofdeliverySupplierwarrantsthatProductsdelivered(i)

aredesignedandmanufacturedinaprofessionalandworkmanlikemanner;(ii)arefitforany

normaloragreedpurpose;(iii)arefreefromdefectsindesign,materialsandworkmanship;and

(iv)complywithspecificationsandrequirementsagreedonwithDanfossandintheabsenceof

suchagreementwithindustrystandards.

Suppliershallwithoutunduedelay-atDanfoss’discretion–credit,repairorreplacedefective

ProductsatSupplier’scostandrisk.SuppliershallreimburseDanfossanydocumented,directloss

incurredasaresultofdefectiveProductsincluding,butnotlimitedto,inspectioncosts,dismount-

ingandmountingcost,freight,importandexportduties,chargesandtaxes.

DefectiveProductsthathavebeenreplacedatSupplier’scostshallbethepropertyofSupplierand

shallbereturnedtoSupplieratSupplier’sriskandcostifSupplierrequestsowithin30daysfrom

Supplier’sreceiptofDanfoss’complaint.

7.SerialFailures

Ifthesametypeofdefectoccurs,withinthewarrantyperiodofthedefectiveProductsandin

minimumthree(3)%ofProductsorpartsthereof,howeveralwaysatleast15units,manufactured

tothesamedesign,whichhavebeendeliveredbySuppliertoDanfossduringanytwelve(12)

months’period,suchdefectisconside
